Terms of Use

These Terms of Use (“Terms”) set out the conditions for accessing and using the NyxGo website, the NyxGo trading interface, the NyxGo trader community and any related services (together, the “Interface”). The Interface is made available by NyxGo (“NyxGo”, “we”, “us” or “our”).

Please read these Terms carefully. By accessing or using the Interface, including by connecting a wallet or signing in, you confirm that you have read, understood and agree to be bound by these Terms, our Privacy Policy and our Risk Disclosure, which form part of these Terms. If you do not agree, you are not permitted to access or use the Interface.

1. The Interface

1.1 What NyxGo is. NyxGo is software that lets you interact with a public, decentralized and permissionless blockchain and exchange protocol for perpetual futures that is run by an independent set of validators (the “Exchange Protocol”). NyxGo does not own, control or operate the Exchange Protocol, cannot change how it works, and is not responsible for its security or availability. NyxGo is an independent interface and is not affiliated with or endorsed by the Exchange Protocol or its contributors. The Interface is not the only way to access the Exchange Protocol.

1.2 NyxGo is not a party to your trades. Orders you place yourself are signed in your browser. Orders placed by Agents you set up are signed by NyxGo’s signer with your Agents key, and only within the limits you have signed (see Section 5). All orders are executed, margined, liquidated and settled by the Exchange Protocol, not by NyxGo. The markets shown in the Interface come from the Exchange Protocol and are not reviewed, verified or approved by NyxGo. NyxGo is not an exchange, broker, dealer, custodian, investment adviser or counterparty to your trades, and it has no role in executing or settling them.

1.3 Not licensed or registered. Neither the Interface nor the Exchange Protocol is licensed, registered, approved or endorsed by any governmental or regulatory authority in any jurisdiction, and no such authority has reviewed the Interface.

1.4 Non-custodial. To use the Interface you need a non-custodial wallet that you control. NyxGo never holds your funds and never holds a key that can withdraw or transfer them. It cannot access, recover or move the contents of your wallet, and it can never withdraw or transfer funds from your account on the Exchange Protocol. If you set up Agents, the Agents key you approve lets NyxGo place, modify and cancel orders on your account on the Exchange Protocol, but only within the limits you have signed (see Section 5). Your wallet provider’s own terms govern your wallet.

1.5 At your own risk. All use of the Interface, and all interaction with the Exchange Protocol through it, is at your own risk. You alone are responsible for evaluating any market, order or transfer before you make it, and any Agent and its limits before you set it up.

2. Eligibility and Restricted Persons

2.1 Who may use NyxGo. You must be at least 18 years old and able to form a binding contract where you live.

2.2 Restricted Persons. The Interface is not available to Restricted Persons, who may not access or use it. “Restricted Persons” are:

  • persons or entities that reside in, are located in, are incorporated in or have a registered office in the United States of America or Ontario, Canada;
  • persons or entities that reside in, are located in, are incorporated in or have a registered office in any country or territory that is subject to applicable economic or trade sanctions or export-control laws (“Restricted Territories”);
  • citizens of Restricted Territories, wherever they are located; and
  • persons or entities named on, or owned or controlled by or acting for anyone named on, any sanctions list that applies to NyxGo or to you.

2.3 Your responsibility. You are solely responsible for making sure that your access to and use of the Interface, including leveraged and derivatives trading, is lawful where you are. By using the Interface you represent and warrant that you are not a Restricted Person, that your use is lawful, and that you are not using a VPN, proxy or any other method to hide your location or to get around any access restriction.

2.4 Our decisions. We may restrict access from any location or for any person, use screening or location tools, and decide whether a user is eligible. Our decisions on eligibility are final.

3. Your wallet and your NyxGo account

3.1 Wallet connection. You use the Interface by connecting a compatible browser wallet. Signing in requires a standard externally owned account (EOA); smart-contract wallets are not supported.

3.2 Sign-In with Ethereum. You sign in by signing a one-time message with your wallet. This does not send a transaction or cost gas. The first time you sign in, we create a NyxGo account linked to your wallet address, and a session cookie keeps you signed in until you sign out or the session expires.

3.3 Security of your wallet and device. You alone control your wallet, its private keys and recovery phrase, and the device and browser you use, and you are responsible for keeping them secure. NyxGo cannot access, recover or reset any of them and will never ask for your recovery phrase or your main wallet’s private key. You are responsible for all activity carried out with your wallet or your trading key. You are also responsible for the Agents you set up, the limits you sign for them and the orders placed within those limits, so check an Agent’s settings and limits before you sign them.

3.4 Profile. You may add a handle, display name and bio; your avatar is generated automatically. Handles must be unique. Do not choose a handle or name that impersonates another person or organisation, or that is misleading, offensive or infringing. Your profile is public, but NyxGo never shows your wallet address on it or lets anyone look it up by wallet address (see Section 8).

4. Trading through NyxGo

4.1 The trading key. To place orders yourself, you approve an API wallet on the Exchange Protocol (the “trading key”) with a signature from your main wallet. NyxGo creates this key in your browser and stores it in your browser’s local storage; it is never sent to NyxGo’s servers. The trading key can place, modify and cancel orders, change leverage and margin settings for your account and move USDC between your own accounts on the Exchange Protocol. Under the Exchange Protocol’s rules it cannot withdraw your funds, but it can open and close positions that lose money, so you must keep your device and browser secure. The approval expires 30 days after you give it, and signing out of NyxGo revokes it on the Exchange Protocol. Removing the key in NyxGo deletes only the copy in your browser; the approval can remain active on the Exchange Protocol until it expires, you sign out, you revoke it there or you approve a new NyxGo trading key, which replaces the previous one. The trading key is separate from the Agents key described in Section 5.2, which you need only if you use Agents. Unlike the trading key, the Agents key is created and held by NyxGo, not in your browser. The Agents key does not replace the trading key, and removing or revoking the trading key, or signing out of NyxGo, does not revoke the Agents key or stop your Agents.

4.2 Orders. When you submit an order, your browser signs it with the trading key and sends it directly to the Exchange Protocol. NyxGo offers market, limit, trigger (stop and take-profit), TWAP and scale orders, and take-profit and stop-loss orders attached to positions. NyxGo also offers Agents, which place orders for you, such as recurring orders, trailing stops and grids of limit orders; orders placed by Agents are signed by NyxGo’s signer and sent to the Exchange Protocol by NyxGo’s servers (see Section 5). We do not guarantee that any order, including an order placed by an Agent, will be accepted, triggered, executed in full, or executed at a particular price. Market orders are sent as immediate-or-cancel limit orders priced up to the maximum slippage in your settings, so they may fill partially or not at all. The Exchange Protocol’s rules apply to every order, including tick and lot sizes, minimum order values, margin requirements, leverage limits, funding and liquidation, and your use of the Exchange Protocol is also subject to its own terms.

4.3 Deposits and withdrawals. Deposits made from the Interface move USDC from your wallet on Arbitrum to your account on the Exchange Protocol using Circle’s Cross-Chain Transfer Protocol. Withdrawals are requested with a signature from your main wallet and paid out by the Exchange Protocol’s bridge to your connected wallet on Arbitrum. Every deposit and withdrawal is signed in your own wallet; NyxGo does not hold, route or control your funds and cannot cancel, speed up or reverse a transfer. Fees, estimates and arrival times shown in the Interface come from third parties or are estimates, and are not guaranteed. We may disable deposits or withdrawals in the Interface at any time; you can always move funds using the Exchange Protocol directly.

4.4 Transactions are final. Transactions on the Exchange Protocol and on blockchains are irreversible. NyxGo is not responsible for mistakes you make when confirming a transaction, including sending funds to the wrong address, signing the wrong order or signing the wrong limits for an Agent. By using the Interface you represent that you are financially and technically sophisticated enough to understand the risks of cryptographic and blockchain-based systems.

4.5 Information in the Interface. Prices, order books, positions, balances, liquidation prices, fee estimates, transfer status, performance statistics and other data in the Interface come from the Exchange Protocol and other third parties, or are calculated from their data. They may be delayed, incomplete or wrong. The Exchange Protocol’s records are authoritative.

4.6 Changes to markets and features. We may, at any time and without notice, feature, cap or hide markets, pause trading, Agents, Moon AI or community features, show announcements, or change or discontinue any part of the Interface. None of this closes or changes your positions on the Exchange Protocol, which you can always manage through the Exchange Protocol’s own interface or another compatible interface, although pausing or stopping Agents may cancel their orders (see Section 5.4).

4.7 Moon AI. Moon AI is an optional AI assistant in the Interface that answers questions about markets, trading and the Interface. To answer, it uses market data, public community content and, while your wallet is connected, a snapshot of your positions, open orders and margin that the Interface sends with your question. Its answers are generated by artificial intelligence models that third-party providers run on our behalf, as described in our Privacy Policy.

  • Information only. Moon AI’s answers, including any levels, sizes, plans or warnings, are generated automatically, are not reviewed by NyxGo before you see them and are subject to Section 10. They may be inaccurate, incomplete, out of date or unsuitable for you. You are responsible for checking anything Moon AI tells you before you rely on it.
  • Drafts are not orders. Moon AI may suggest an order (a “draft”). A draft only fills the order form in the Interface: nothing is sent to the Exchange Protocol until you review and submit it yourself, and an order you submit from a draft is your order in every respect, as described in Section 4.2. Moon AI cannot place, modify or cancel orders, move funds or otherwise act on your account.
  • Acceptable use. You must not use Moon AI for anything other than its purpose in the Interface, try to make it produce content outside that purpose or in breach of these Terms, try to extract its instructions or configuration, or use it in connection with any activity prohibited in Section 9. Moon AI may decline questions. We may limit how much you can use it, including through the free daily allowance described in Section 4.8, and may restrict, suspend or end your access to it at any time.
  • What you share. Never include a recovery phrase, private key or password in a question, and do not include other sensitive personal data. You can delete your conversations in the Interface at any time.
  • Availability. Moon AI may be unavailable or give no answer, and we may change or discontinue it at any time (see Section 4.6).

4.8 AI credits. You can ask Moon AI a number of questions each day free of charge, and buy credits to ask more (“AI credits”, and each one an “AI credit”).

  • Free allowance. Each NyxGo account can ask Moon AI 10 questions per day free of charge. The day is a calendar day in Coordinated Universal Time (UTC), and the allowance resets at 00:00 UTC. We may change or discontinue the free allowance at any time.
  • What a credit is. One AI credit lets you ask Moon AI one question. A question uses one of that day’s free questions first, and an AI credit only once they are used up. A question that does not get an answer, for example because of an error, because Moon AI is unavailable or because Moon AI declines a question outside its purpose, does not use an AI credit. AI credits can be used only for Moon AI questions on the NyxGo account that bought them.
  • Price. AI credits are sold in packs. The number of AI credits in a pack and its price are shown in the Interface before you buy. We may change the price or size of a pack at any time. A change applies only to packs bought after it takes effect, and never affects AI credits you have already bought.
  • Payment. You pay in USDC from your own account on the Exchange Protocol, by signing a transfer of the price to NyxGo once with your main wallet. Signing costs no gas. NyxGo submits the transfer you signed to the Exchange Protocol and adds the AI credits to your NyxGo account once the Exchange Protocol accepts it; if it does not accept it, no AI credits are added. NyxGo cannot change the transfer you sign or make any other transfer from your account. Like any transfer on the Exchange Protocol, your payment is final (see Section 4.4) and public, together with your wallet address (see our Privacy Policy).
  • Expiry. AI credits expire 12 months after you buy them. Expired AI credits cannot be used or restored.
  • No cash value. AI credits have no cash value. They are not a deposit or a balance of funds, and they cannot be transferred to anyone else or to another account, withdrawn, or exchanged for money or digital assets.
  • No refunds. Purchases of AI credits are non-refundable, except where the law requires otherwise.
  • Deleting your account. If you delete your NyxGo account (see Section 18), any unused AI credits are forfeited, and they are not restored if you sign in again with the same wallet.

5. Agents

5.1 What Agents are. Agents are optional automated trading tools in the Interface (“Agents”, and each one an “Agent”). An Agent places, modifies and cancels orders on your account on the Exchange Protocol by following the strategy and settings you choose, for example recurring orders at set intervals (a “DCA agent”), a stop that follows the price (a “Trailing stop agent”) or a ladder of limit orders across a price range (a “Grid agent”). Agents run on NyxGo’s servers and keep running when your browser is closed. NyxGo does not choose markets, strategies or settings for you. We decide which strategies and markets are available for Agents and may change them at any time.

5.2 The Agents key. Agents trade through a separate API wallet on the Exchange Protocol (the “Agents key”), which you approve with a signature from your main wallet. NyxGo creates the Agents key and holds it, encrypted, in an isolated signing system (the “signer”), which uses it only to sign orders for your Agents. Under the Exchange Protocol’s rules, the Agents key can trade on your account, but it cannot withdraw or transfer your funds. Each approval is valid for up to 30 days, and your Agents pause before it expires; renewing means approving a new key. You can revoke the Agents key at any time in the Interface, which pauses all your Agents and deletes NyxGo’s copy of the key. You can also revoke its approval on the Exchange Protocol, from the Interface with a signature from your main wallet or directly on the Exchange Protocol. If you revoke the key only in the Interface, its approval remains active on the Exchange Protocol until it expires, is replaced or you revoke it there, although NyxGo no longer holds the key. NyxGo also deletes its copy of the key when the key expires or is replaced.

5.3 Your limits are your instruction. Before an Agent starts, and whenever you resume or change it, you sign its limits with your main wallet. The limits include, for example, the market, the side, the maximum size of each order and of all orders together, the maximum slippage, the minimum spacing between orders and when the limits expire. The settings you choose for an Agent and the limits you sign for it are your instruction to NyxGo, and your authorisation, to place, modify and cancel orders on your account through the Agents key within those limits. The signer checks every order against your most recently signed limits and will not sign an order outside them. Even within your limits, NyxGo may refuse, delay or skip any order, for example if a price check fails, a cap is reached, a market is unavailable or not liquid enough, the kill switch described in Section 5.4 is on, or we suspect an error, misuse or a breach of these Terms.

5.4 Pausing and stopping. You can pause, resume or cancel an Agent at any time in the Interface; resuming or changing one requires you to sign its limits again. An Agent may also pause or stop without any action from you, including when it has used up its runs or budget, when its limits or the Agents key expire or are revoked, after repeated errors or refused orders, when its market becomes unavailable, when your account is suspended, banned or otherwise restricted, when the Interface or the Exchange Protocol is unavailable, or when we switch Agents off for all users (the “kill switch”). We may also pause any Agent, or disable Agents on your account, at any time and without notice. Some pauses end automatically once their cause is resolved; others last until you resume the Agent. Runs missed while an Agent is paused, stopped or unavailable are skipped and are not made up later. Depending on the strategy, pausing or cancelling an Agent may cancel its resting orders or leave them on the Exchange Protocol; for example, when you cancel a Trailing stop agent you can choose to leave its last stop in place. You remain responsible for any orders and positions an Agent leaves on your account.

5.5 No advice and no guarantee. Agents carry out your instructions. They are not investment advice or a recommendation of any strategy, market or setting, and NyxGo does not assess whether an Agent or its settings are suitable for you (see Section 10). We do not guarantee that an Agent will run at any particular time or at all, that any of its orders will be placed, accepted, triggered or executed, in full or at a particular price, or that an Agent will make a profit, limit your losses or protect you from liquidation. Section 4.2 and the Exchange Protocol’s rules apply to orders placed by Agents as they do to your own orders, and fees apply as described in Section 6.

6. Fees

  • Access. NyxGo does not charge a fee to access the Interface.
  • Exchange Protocol fees. The Exchange Protocol charges its own trading and withdrawal fees. NyxGo does not set or receive them.
  • NyxGo platform fee. NyxGo may charge a platform fee on orders placed through the Interface using the Exchange Protocol’s builder-fee mechanism. When a platform fee is active, its rate is shown before you enable trading, in your settings and in the order form’s fee estimate. You approve a maximum rate with a signature from your main wallet, and the Exchange Protocol collects the fee only on filled orders. We may change the rate; if a new rate is higher than the one you approved, you will be asked to approve it before you can place more orders through NyxGo.
  • Agents. Orders placed by your Agents pay the Exchange Protocol’s fees in the same way as orders you place yourself. When a NyxGo platform fee is active and you have approved it, it may also be charged on orders your DCA and Grid agents place, up to the rate you approved; it is currently not charged on the orders a Trailing stop agent places to close your position. The platform fee on your Agents’ orders may be set at a different rate from the one on orders you place yourself, higher or lower; the rate that applies is shown before you start an Agent and in your settings. If it is raised above the rate you approved, your Agents pause before their next order until you approve the new rate. NyxGo charges nothing for using Agents beyond this platform fee on their filled orders.
  • Moon AI. Moon AI is free for a daily allowance of questions. To ask more, you can buy AI credits, paid in USDC from your account on the Exchange Protocol at the price shown in the Interface before you buy (see Section 4.8).
  • Network and third-party fees. Gas, bridge and transfer fees for moving funds, including Circle’s transfer fee on deposits, are paid to third parties, not to NyxGo.
  • Taxes. You are solely responsible for determining, reporting and paying any taxes that apply to your use of the Interface and your trading.

7. Community

7.1 Public content. Posts, comments, likes, follows and your profile are public. Anyone can see them, including people who are not signed in, and recent posts may appear on the NyxGo website. A trade call also shows the side of your position in its market when you posted it (long, short or none), as read by NyxGo from the Exchange Protocol, but never the size of that position. Do not post anything you want to keep private, including anything that reveals your wallet address, because anyone who knows it can see your activity on the Exchange Protocol (see Section 8).

7.2 Your content. You keep ownership of what you post. You grant NyxGo a worldwide, non-exclusive, royalty-free, transferable and sub-licensable licence to host, store, reproduce, display, distribute and adapt (for formatting and display) your content in order to operate, provide, improve and promote the Interface. You confirm that you have the rights needed to post your content and to grant this licence.

7.3 Community rules. You must not use the community to manipulate markets (for example through pump-and-dump schemes, coordinated trading or false information meant to move prices); run scams, phishing or fraud, or link to malicious software or fake websites; promote tokens, projects or services for payment without clearly disclosing it; impersonate any person or organisation, including NyxGo; harass, threaten or abuse others, or post hateful, violent, sexually explicit or illegal content; share anyone’s private information without permission; post spam or automated or bulk content; or infringe anyone’s intellectual property or other rights.

7.4 Not advice. Community content reflects the views of the traders who post it, not of NyxGo, and we do not verify it. Sentiment tags, cashtags, trade calls, rankings, leaderboards and performance statistics are not endorsements or recommendations. The entry price and position badge shown on a trade call are read from the Exchange Protocol when the call is posted. They are a snapshot, not confirmation that the author traded the call or still holds a position.

7.5 Moderation. You can report posts, comments and traders. We have no obligation to monitor content, but we may review reports and content at our discretion and, with or without notice: hide, remove or restore posts and comments; suspend an account from community features and Agents (a suspended account can still browse and place its own orders, but cannot post, comment, like or follow, is left out of the leaderboard, and has its Agents paused and its Agents key revoked); ban an account (a banned account is signed out of all sessions and cannot sign in, its profile and content are hidden, and its Agents are paused and its Agents key revoked); or turn off community features for everyone. 7.6 Deleting content. You can delete your own posts and comments at any time. Deleted content is removed from public view at once and permanently deleted 30 days later. Content that we remove through moderation is kept as evidence of the moderation decision. See our Privacy Policy.

8. Public profiles and the leaderboard

Your trading activity on the Exchange Protocol is public by nature: anyone who knows your wallet address can see your balances, positions and trade history there, and NyxGo cannot change that. NyxGo does not show your wallet address to other users and does not let anyone look up a NyxGo profile by wallet address. From your first sign-in onward, we copy the fills (executed trades) of your account on the Exchange Protocol, including trades placed outside NyxGo, and use them to calculate your performance statistics. Your live account on the Exchange Protocol (balance and open positions) is shown only to you, on your own profile. Your performance statistics are shown on your public profile, and you are ranked on the public leaderboard, only if you choose to share them in Settings. Both are off by default, and you can turn either off at any time; the leaderboard updates within about a minute. You can also download your data or delete your NyxGo account in Settings (see Section 18). See our Privacy Policy.

9. Prohibited activities

You must not engage in, attempt, or help anyone else with any of the following:

  • Intellectual property infringement: infringing any copyright, trademark, patent, right of publicity, privacy or other right.
  • Attacks on systems: interfering with or compromising the integrity, security or operation of the Interface or any computer, network or device, including through viruses, malicious code, phishing or denial-of-service attacks.
  • Fraud and misrepresentation: deceiving NyxGo or anyone else, giving false or misleading information, or impersonating any person, entity or system.
  • Market abuse: manipulating prices or volumes, wash trading, spoofing, coordinated schemes, misusing confidential or non-public information, or any other practice that deceives market participants or undermines market integrity.
  • Circumventing restrictions: using a VPN, proxy or other technology to hide your location, misrepresenting your residency or citizenship, or otherwise evading the restrictions in these Terms.
  • Financial crime: money laundering, terrorist or proliferation financing, or any activity that breaches applicable sanctions.
  • Exploiting vulnerabilities: exploiting errors, bugs or unintended behaviour in the Interface, the Exchange Protocol or related code, or trying to gain unauthorised access or manipulate transactions.
  • Automated abuse: using bots, scripts or scraping in ways that exceed reasonable use, bypass rate limits or disrupt the Interface or the Exchange Protocol. Using NyxGo’s own Agents as offered in the Interface is not automated abuse; this restriction still applies to any other bot, script or scraper.
  • Leverage and liquidation manipulation: activity designed to exploit or distort the Exchange Protocol’s leverage, margin, pricing or liquidation mechanisms.
  • Unauthorised access: using another person’s wallet, account, trading key or Agents key without permission, or reverse engineering the Interface except as the law allows.
  • Any other unlawful conduct: breaching any law, regulation or governmental order, including rules on financial crime, market integrity, data protection and consumer protection.

If you engage in a prohibited activity, whether intentionally or not, you agree to indemnify the Indemnified Parties as described in Section 17.

10. No professional advice

Everything in the Interface, including market data, guides, statistics and community content, is for information only and is not investment, financial, legal, tax, technical or other professional advice. NyxGo does not assess whether trading is suitable for you. Agents and the strategies they offer are tools, not recommendations, and Moon AI’s answers and drafts are automatically generated information, not recommendations. Information in the Interface may be incomplete, out of date or wrong, and you are responsible for checking it. Consider independent advice from a qualified professional before making financial decisions. Nothing in these Terms or the Interface creates a fiduciary, advisory or client relationship between you and NyxGo.

11. Programs

We may run programs, competitions, rewards or other promotions from time to time (“Programs”). Each Program may have its own terms, which apply alongside these Terms and prevail for that Program if they conflict. Participation is voluntary. We may change, suspend or end a Program at any time. Program benefits have no cash value unless expressly stated, are not guaranteed, may be cancelled or forfeited, and may be restricted in some jurisdictions.

12. Intellectual property

The Interface, including its software, design, text, graphics and the NyxGo name and logo, is owned by NyxGo or its licensors. Subject to these Terms, we grant you a limited, personal, revocable, non-exclusive and non-transferable licence to use the Interface for its intended purpose. Open-source components are licensed under their own terms, and third-party names and marks belong to their owners.

13. Third-party services

The Interface depends on, and links to, services we do not control, including the Exchange Protocol, your wallet provider, blockchains, Circle’s transfer infrastructure and bridges, and the AI model providers that Moon AI uses. Your use of them is governed by their own terms and privacy policies, and we are not responsible for their availability, security, accuracy or conduct.

14. No warranties

The Interface is provided “as is” and “as available”, without warranties of any kind, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, security or availability. To the fullest extent permitted by law, we do not promise that the Interface will be uninterrupted, timely, secure or error-free, that defects will be fixed, or that the Interface or the Exchange Protocol will meet your expectations.

15. Assumption of risk and release

15.1 Your risks. You understand and accept the risks of using the Interface and of trading digital assets and perpetual futures, including those described in our Risk Disclosure: volatility and the total loss of funds; leverage and liquidation; funding payments; slippage and illiquidity; failures, bugs, exploits or changes affecting the Exchange Protocol, its validators, oracles, bridges or any blockchain; unauthorised access to your wallet, device, trading key or Agents key; orders placed automatically by Agents you set up, including while you are away; fraud, phishing and market manipulation by others; and regulatory or legal change.

15.2 No fiduciary duties. These Terms do not create any fiduciary duties for NyxGo. To the fullest extent permitted by law, NyxGo owes you no fiduciary duties, and you waive any that might otherwise exist. NyxGo’s only obligations to you are those expressly set out in these Terms.

15.3 Release. To the fullest extent permitted by law, you release NyxGo from all claims, liabilities and damages arising from or relating to your use of the Interface; your trading and other activity on the Exchange Protocol, including orders placed by Agents you set up, trading losses, liquidations and funding; your reliance on any data shown in the Interface; any third-party service; and any regulatory, tax or legal consequence of your activity.

16. Limitation of liability

16.1 To the fullest extent permitted by law, neither NyxGo nor its officers, directors, employees, contractors, agents or affiliates will be liable to you for any direct, indirect, incidental, special, consequential, punitive or exemplary damages, or for any loss of profits, revenue, goodwill, data or digital assets, arising from or relating to the Interface, the Exchange Protocol, or any trading or transfer made through the Interface, including by Agents.

16.2 Without limiting Section 16.1, we are not liable for: errors, bugs or vulnerabilities in the Exchange Protocol, its bridges, oracles or smart contracts; inaccurate or delayed content; unauthorised access to your wallet, device, browser, trading key or Agents key, or to any server or database; any order an Agent places, delays, skips or fails to place, or any Agent that pauses or stops; any answer, draft or warning Moon AI gives, or fails to give; interruption or discontinuance of the Interface; malicious code transmitted through the Interface; fraud, phishing, market manipulation or other conduct of third parties; failures of third-party services; or the loss of access to any feature, including because you are or become a Restricted Person.

16.3 In any case, our total liability for all claims relating to the Interface or these Terms will not exceed one hundred US dollars (US$100), whatever the legal basis of the claim and even if we were advised of the possibility of the loss.

16.4 Some jurisdictions do not allow certain warranties to be excluded or certain liabilities to be limited, so some of the above may not apply to you. These limitations apply to the fullest extent permitted by law.

17. Indemnity

You agree to defend, indemnify and hold harmless NyxGo and its officers, directors, employees, contractors, agents and affiliates (the “Indemnified Parties”) from and against all claims, damages, losses, liabilities, costs and expenses (including reasonable legal fees) arising from or relating to: your access to or use of the Interface; your trading and other activity on the Exchange Protocol; your content; your breach of these Terms, of any law or of anyone else’s rights; any prohibited activity described in Section 9; use of the Interface through any wallet, device or account you control; any third-party service you use with the Interface; and any false or misleading statement you make. You will cooperate fully in defending any such claim. We may take exclusive control of the defence and settlement of any matter you must indemnify, at your expense, and you will not settle any such matter without our prior written consent.

18. Suspension and termination

We may suspend, restrict or end your access to all or part of the Interface at any time and without notice, including if we believe your use is unauthorised, deceptive, fraudulent or unlawful, breaches these Terms, or must be restricted to comply with law. If we do, your Agents may be paused or stopped and your Agents key revoked. You may stop using the Interface at any time: cancel your Agents and revoke the Agents key in the Interface and on the Exchange Protocol, sign out, remove your trading key from your browser, and revoke it on the Exchange Protocol. You can also permanently delete your NyxGo account at any time with Delete account in Settings. Deletion cannot be undone: your profile, posts, comments, likes, follows, notifications, the reports you filed, your Moon AI conversations, your trading history on NyxGo and your sessions are deleted, any unused AI credits are forfeited (see Section 4.8), and your Agents stop and their Agents key is revoked and destroyed. Records of what your Agents did on your behalf are kept, as described in our Privacy Policy. Orders your Agents already placed on the Exchange Protocol stay open until they fill or you cancel them from your wallet. If you sign in again with the same wallet, a new, empty NyxGo account is created.

Because NyxGo is non-custodial, suspension, termination or the deletion of your NyxGo account does not affect the funds or positions in your account on the Exchange Protocol, which you can keep managing through its own interface or another compatible interface. Orders already resting on the Exchange Protocol, including orders placed by Agents, may remain there until they are filled or cancelled. Provisions that by their nature should survive termination, including Sections 7.2 and 12 to 22, survive.

19. Changes to the Interface and these Terms

We may change, update or discontinue any part of the Interface, any Program or any related policy at any time, without notice and without liability. We may also update these Terms. Changes take effect when we post them, and we will update the “last updated” date on this page and may also announce material changes in the Interface. If you keep using the Interface after a change takes effect, you accept the updated Terms. If you do not agree, you must stop using the Interface.

20. Governing law

These Terms, and any dispute or claim arising from or relating to them or to the Interface, are governed by the laws of England and Wales, without regard to conflict-of-law rules.

21. Dispute resolution, arbitration and class action waiver

21.1 Informal resolution first. If a dispute arises, you agree to notify us in writing within thirty (30) days of when it arises, by email to [email protected], so we can try to resolve it informally. Your notice must include your name, postal address and email address, a description of the dispute and the resolution you are seeking. If the dispute is not resolved within thirty (30) days of our receiving your notice, either party may start arbitration.

21.2 Binding arbitration. Except for claims that qualify for a small-claims court, any dispute arising from or relating to these Terms, the Interface or your dealings with NyxGo that is not resolved informally will be finally resolved by binding arbitration under the Rules of the London Court of International Arbitration (LCIA), which are incorporated into this section by reference. There will be a single arbitrator appointed under those Rules, the seat of arbitration will be London, United Kingdom, and the arbitration will be conducted in English. Each party bears its own costs unless the arbitrator decides otherwise. The arbitrator has exclusive authority to decide all procedural and substantive questions about the dispute, including the scope and enforceability of this section, and may award any remedy a court could award.

21.3 No class or representative actions. Disputes will be resolved only on an individual basis. Neither you nor NyxGo may bring a dispute as a class, collective or representative action, whether in arbitration or in any other forum, and the arbitrator may not consolidate claims or preside over a representative proceeding.

21.4 No US courts. Neither you nor NyxGo may bring any dispute in a court located in the United States of America.

21.5 Mandatory rights. Nothing in this section limits any rights you have under mandatory consumer protection laws that cannot be waived by contract.

22. General

  • Entire agreement. These Terms, together with our Privacy Policy and Risk Disclosure, are the entire agreement between you and NyxGo about the Interface and replace any earlier understanding.
  • Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer ours at any time, with or without notice.
  • Severability. If any provision is found invalid or unenforceable, it will be interpreted to achieve its purpose as far as the law allows, and the rest of these Terms remain in effect.
  • No waiver. If we do not enforce a provision, that is not a waiver of our right to do so later.
  • Notices. We may give you notice through the Interface, by email if you have written to us, or through public channels such as our website and social accounts; notices posted publicly take effect when posted. You can give us notice at [email protected].
  • Language. These Terms are written in English. If they are translated, the English version prevails.
